These terms govern your use of Gemfinity — the gemstone valuation and trading platform operated by MGL Gemfinity Private Limited from Calicut and Market, India. They cover everything from how the MGL Valuer pricing engine works to what happens when you cancel, what we promise, and what we don't. Reading them is worth the fourteen minutes.
Section I Acceptance & eligibility
By creating an account, browsing the Vault, requesting a valuation, or otherwise using Gemfinity, you accept these Terms & Conditions and our Privacy Policy. If you don't accept them, please don't use the platform — we won't take it personally, but we can't make exceptions.
You must be at least 18 years of age and have the legal capacity to enter into a binding contract in your jurisdiction. If you're using Gemfinity on behalf of a business — and most of you are — you confirm that you have authority to bind that entity to these terms. "You" throughout this document means both you personally and the business you represent, jointly and severally.
Gemfinity is built primarily for trade users: dealers, manufacturers, gemologists, auction houses, and serious collectors. We don't operate as a consumer retail platform, and the protections that apply to consumer purchases under Indian or EU consumer law generally do not apply to your use of Gemfinity.
Section IIDefinitions
Throughout these Terms, the following words mean what they say below. Where a defined term appears with an initial capital, that's a signal that the precise meaning here is what's intended.
- Gemfinity
- The platform operated at gemfinity.io and the associated mobile and desktop apps, including the MGL Valuer engine, Vault, Insider, Library, Marketplace and Authorized Dealer Program.
- The Company
- MGL Gemfinity Private Limited, a company incorporated in India (CIN: U74999KL2024PTC067834), with its registered office in Calicut, Kerala, and operational office in Market, Gujarat.
- MGL Valuer
- The proprietary AI-driven gemstone pricing engine and any reports it generates.
- Dealer User
- A user approved under the Authorized Dealer Program with access to wholesale-tier pricing and the private B2B trading floor.
- Content
- Any data, image, certificate, valuation request, listing, message, comment or other material you submit, generate or transmit through Gemfinity.
- Subscription
- A paid plan — currently Base, Pro Valuer, or Elite — billed monthly or annually, granting access to specified features for the term.
Section III Account registration
To use most features you'll need to create an account. We ask for your name, email, phone number, and (for business accounts) your company name and registration details. Everything you tell us must be accurate. If your details change — particularly your business registration status or contact email — please update them within 30 days.
You're responsible for maintaining the confidentiality of your password and for everything that happens under your account. If you suspect unauthorized access, contact security@mglgemfinity.com immediately. We can pause or restrict an account that shows signs of compromise while we investigate.
One person, one account. Sharing logins, automating account creation, or operating multiple accounts to circumvent free-tier limits or evade a previous suspension is grounds for termination of all related accounts and forfeiture of any unused credits or subscription value.
Section IV The MGL Valuer service
MGL Valuer produces price estimates for diamonds and colored gemstones based on the parameters you submit (carat, color, clarity, cut, treatment, origin, certification) and a proprietary calibration model trained on Rapaport benchmarks, VDB marketplace data, Market ex-works wholesale levels, and other trade sources. The output is an estimate, with a stated confidence band.
What MGL Valuer is not
The MGL Valuer report is not an appraisal, certification, or insurance valuation. It is not issued by a certified gemologist (unless you have separately purchased an Expert Review under your subscription tier). It is not legal tender, security, or a guaranteed buy/sell price. No party — including MGL Gemfinity — is obligated to transact at the price MGL Valuer indicates.
You are responsible for verifying any output against your own due diligence, original certificates from recognized labs (GIA, IGI, AGL, Gübelin, SSEF, GRS), and the actual condition of any stone before transacting. If a stone is misrepresented to MGL Valuer at the time of valuation, the resulting estimate will be inaccurate, and we accept no responsibility for that.
Confidence bands & accuracy
Each plan tier has a stated confidence band: ±12% on Base, ±6% on Pro Valuer, ±4% on Elite. These are statistical confidence intervals, not guarantees. Individual valuations may fall outside the stated band, particularly for unusual material, treated stones, or origin-restricted varieties. We continuously monitor accuracy and publish quarterly calibration reports in the Insider feed.
Section V Subscriptions & billing
Gemfinity offers three subscription tiers — Base (free, 3 valuations per month), Pro Valuer ($29/month or $278/year), and Elite ($349/month or $3,350/year) — plus pay-as-you-go credit packs and the Authorized Dealer Program.
Billing & renewal
Paid subscriptions are billed in advance at the start of each cycle and renew automatically. You can cancel at any time from your account settings or by writing to billing@mglgemfinity.com. Upon cancellation, you keep access through the end of your paid cycle — we don't pro-rate refunds for partial months on monthly plans.
Annual plans cancelled within the first 30 days are eligible for a prorated refund of the unused portion. After 30 days, annual plans run to the end of their term. All amounts are in U.S. dollars unless your account is set up for INR billing, in which case applicable Indian GST is added at the prevailing rate.
Credits & refunds
Pay-as-you-go credits never expire. Credits included with a subscription cycle reset at the start of each cycle and don't roll over. Credits are non-transferable between accounts and have no cash value; we don't refund credits that have been used to generate a valuation report, even if you disagree with the output.
Price changes
We may change subscription pricing with at least 30 days' written notice to your registered email. Price changes take effect at your next renewal — never mid-cycle. If you don't accept a new price, you can cancel before renewal at no cost.
Section VI Marketplace & trading
Gemfinity hosts both a public Marketplace and, for Authorized Dealers, a private B2B trading floor. We are not a party to any transaction between users. When you list a stone, place a bid, or make a purchase, the contract is between you and the counterparty — Gemfinity facilitates the connection and provides escrow services through our partner integrators.
That said, we take marketplace integrity seriously. The following rules apply:
- Listings must be accurate. Carat, color, clarity, treatment, origin, and certification claims must match the actual stone and accompanying documentation.
- Photographs must be of the actual stone — not stock images, manufacturer photos, or representations from comparable material.
- Certifications must be valid and verifiable. If you list a stone as GIA-certified, the certificate number must be traceable in GIA's public database.
- Once a bid is accepted, it is binding. Sellers and buyers who back out without cause may forfeit deposits and have their marketplace privileges suspended.
Disputed transactions are handled through our resolution desk in line with Section X. We do not adjudicate disputes about subjective grading (i.e., whether a "vivid" emerald is genuinely vivid by your standards) but we will mediate misrepresentation of objective parameters.
Auction listings are governed by additional terms displayed at the time of listing — including reserve prices, minimum increments, anti-shill rules, and post-auction settlement windows. Bidding in an auction confirms acceptance of those auction-specific terms in addition to these.
Section VII Authorized Dealer Program
The Authorized Dealer Program is by application and approval only. Approved dealers gain access to wholesale-tier pricing, the private B2B trading floor, and dealer-only intelligence. The full program terms are presented at the time of application and supplement these Terms.
Approval is at the sole discretion of our compliance desk. We may decline an application without providing detailed reasons; we may revoke dealer status if a dealer violates these Terms, the program-specific rules, or fails an annual recertification. Revocation reverts the account to the Pro Valuer tier — credits and Vault contents are preserved.
Dealer Users are subject to additional anti-money-laundering ("AML"), know-your-customer ("KYC") and beneficial-ownership disclosures consistent with applicable Indian law (including the Prevention of Money Laundering Act, 2002) and, where relevant, FATF guidelines. We may request updated documentation at any time and may freeze trading access pending receipt.
Section VIII User conduct
Gemfinity is a professional environment. The following are prohibited and will result in suspension or termination:
- Submitting false, misleading, or fraudulent information about a stone, certification, or transaction;
- Attempting to scrape, reverse-engineer, or systematically extract data from the platform — including the MGL Valuer engine, the Library catalog, or the Insider feed;
- Using Gemfinity to launder funds, evade sanctions, or transact in stones from sources prohibited under the Kimberley Process or applicable conflict-mineral laws;
- Harassing, threatening, or impersonating other users; misrepresenting your business affiliation or credentials;
- Posting content that infringes intellectual property rights, contains malware, or violates the privacy or publicity rights of others;
- Circumventing platform fees by directing transactions off-platform after initial connection through Gemfinity;
- Sharing access credentials, API keys, or white-label report capabilities with parties not authorized under your Subscription.
We monitor activity for these behaviors using both automated systems and human review. Suspected violations are investigated; confirmed violations result in account suspension within 24 hours. We always communicate the specific reason in writing.
Section IX Intellectual property
All Gemfinity software, the MGL Valuer model and its outputs (including report templates, calibration tables, and confidence-band methodology), the Insider editorial archive, the Library catalog, and all visual brand assets — wordmark, the Sovereign G monogram, color palette and typography system — are the property of MGL Gemfinity Private Limited and protected under Indian and international copyright, trademark, and trade-secret law.
Your subscription grants you a limited, non-exclusive, non-transferable, revocable license to use Gemfinity for its intended purpose: valuing your own stones, transacting on the marketplace, reading the Library and Insider feed, and (for Elite tier and Authorized Dealers) issuing white-label reports under your own brand. This license does not transfer ownership of anything.
Your content
You retain ownership of the photographs, certificates, and stone descriptions you upload. You grant us a worldwide, royalty-free license to host, process, and display that content as needed to provide the service. We do not train AI models on your gemstone images or transaction data without explicit, separate opt-in. See the Privacy Policy for full detail on this.
Section X Disclaimers & liability
Gemfinity is provided "as is" and "as available". To the maximum extent permitted by Indian law, we disclaim all implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We don't warrant that the platform will be uninterrupted, error-free, or that valuations will perfectly reflect any specific market at any specific moment.
To the maximum extent permitted by law, the total aggregate liability of MGL Gemfinity to you for any and all claims arising from or related to your use of the platform is limited to the greater of (a) the amounts you paid us in the twelve months preceding the claim, or (b) ₹50,000 INR. This cap applies regardless of the legal theory under which the claim is asserted.
We are not liable for indirect, consequential, special, or punitive damages — including lost profits, lost business opportunities, lost goodwill, or losses arising from a buyer or seller's misrepresentation in a marketplace transaction. If you suffer a loss because a stone was misrepresented to you by another user, your remedy is against that user, not against Gemfinity.
Nothing in this section limits liability for fraud, gross negligence, or any liability that cannot be excluded under applicable law.
Section XITermination
You can close your account at any time. We can terminate your access to Gemfinity:
- For material breach of these Terms, with at least 7 days' written notice and an opportunity to cure where the breach is curable;
- Immediately for fraud, money laundering, repeated marketplace misrepresentation, or any conduct that creates legal risk for the Company;
- With 30 days' notice if we discontinue the platform or a specific service tier — in which case we'll refund unused subscription time on a prorated basis.
Upon termination, your access ends. We retain transactional records for the period required by Indian tax and regulatory law (typically seven years); we delete your personal content per the Privacy Policy unless retention is required by law. You can request an export of your Vault and valuation history before closing your account — we'll deliver it as a downloadable archive within 14 days of request.
Section XII Governing law
These Terms are governed by the laws of India, without regard to conflict-of-law principles. Any dispute arising from or related to these Terms or your use of Gemfinity will be resolved through binding arbitration under the Arbitration and Conciliation Act, 1996, with the seat at Calicut, Kerala. Each party bears its own costs unless the arbitrator awards otherwise.
Notwithstanding the above, either party may seek injunctive or equitable relief from the competent courts of Calicut, Kerala for breach of confidentiality, intellectual property, or unauthorized use of platform credentials.
If any provision of these Terms is held unenforceable, the remaining provisions remain in full force. These Terms — together with the Privacy Policy and any program-specific terms (Authorized Dealer, Auctions) — constitute the entire agreement between you and MGL Gemfinity regarding the platform.
